1. Acceptance of Terms

By accessing or using the Costfluent platform, website, or any associated services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms. If you do not agree to these terms, you may not access or use the Service.

2. Description of Service

Costfluent is cloud cost management software that processes billing data from the cloud accounts you connect, currently AWS and Microsoft Azure. The Service covers cost reports, cost allocation, budgets and forecasting, cost insights, savings work, team access, and scheduled report delivery. Access to your cloud accounts is read-only; we do not make changes in them. We may modify, suspend or discontinue any aspect of the Service with reasonable notice.

3. User Accounts and Responsibilities

To access certain features of the Service, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Provide accurate, current, and complete information during registration and keep your account information updated
Use strong, unique passwords and enable multi-factor authentication when available
Notify us immediately of any unauthorized access or security breach affecting your account
Ensure that all users within your organization comply with these terms

4. Subscription and Billing

Access to the Service is provided through subscription plans as described on our pricing page. By subscribing to a paid plan, you agree to the following billing terms:

Subscription fees and billing periods are presented before a paid subscription is confirmed
Fees are non-refundable except where required by applicable law or expressly agreed in the applicable order
We may change our pricing with 30 days advance notice; changes apply at the next billing cycle
Failure to pay may result in suspension or termination of your access to the Service

5. Intellectual Property

The Service, including all content, features, and functionality, is owned by Costfluent and is protected by international copyright, trademark, patent, and other intellectual property laws. You retain all rights to your data and content uploaded to the Service. By using the Service, you grant Costfluent a limited license to process your data solely for the purpose of providing the Service. We will not sell, share, or use your data for any purpose other than delivering and improving the Service.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these terms. You may not:

Use the Service to violate any applicable law, regulation, or third-party rights
Attempt to gain unauthorized access to the Service, other accounts, or related systems
Interfere with or disrupt the integrity or performance of the Service
Reverse engineer, decompile, or attempt to extract the source code of the Service
Use the Service to transmit malware, spam, or other harmful content

7. Service Availability and SLA

We aim to keep the Service available and to announce planned maintenance in advance where possible, but we do not commit to a specific uptime percentage and no service level agreement is offered at this time. We are not liable for downtime or interruption caused by factors beyond our reasonable control, including internet outages, cloud provider incidents or force majeure.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Costfluent and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Service. Our total liability for any claims under these terms shall not exceed the amount you paid us in the twelve months preceding the claim. These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.

9. Indemnification

You agree to indemnify, defend, and hold harmless Costfluent and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these terms; (c) your violation of any rights of a third party; or (d) your data or content uploaded to the Service.

10. Termination

You may request account termination through the available product controls or by contacting us. We may suspend or terminate access where you breach these terms, fail to pay amounts due, create a security or legal risk, or where continued operation is no longer reasonably possible. After termination, access ends and data is handled under the Privacy Policy and applicable law. Request any needed export before termination.

11. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply. For consumers within the European Union, mandatory consumer protection laws of your country of residence may also apply.

12. Dispute Resolution

In the event of a dispute relating to these terms or the Service, contact us first so we can seek an amicable resolution. If it cannot be resolved informally, the competent courts under applicable law have jurisdiction; mandatory consumer-protection rules remain unaffected.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify you of any material changes by posting the updated terms on our website and, for registered users, by email at least 30 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified terms. If you do not agree to the updated terms, you must stop using the Service and may terminate your account.
